Welcome to CPF Launchpad, a division of CPF Floors LLC (“CPF Floors,” “we,” “us,” or “our”). These Terms of Service govern your access to and use of the CPF Launchpad platform, services, website, and all associated digital tools (collectively, the “Platform”). By using our services or creating an account, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree, you may not use our Platform.
1. Introduction. CPF Floors LLC, headquartered in Miami, FL, is the owner of the CPF Launchpad brand and operator of the CPF Launchpad program. CPF Launchpad operates as a licensing model, enabling flooring professionals and entrepreneurs (“Licensees”) to build their own distribution businesses under the CPF Floors brand. Each Licensee is independently owned and operated. For example, CPF Floors Atlanta LLC operates the CPF Launchpad services in the State of Georgia under a licensing agreement with CPF Floors LLC.
2. Ownership and Intellectual Property. All rights, trademarks, copyrights, and trade secrets associated with the CPF Floors and CPF Launchpad brands remain the exclusive property of CPF Floors LLC. Licensees are granted limited, non-transferable rights to use these assets strictly within the scope of their license agreements. Licensees may not reproduce, sell, sublicense, or misuse CPF intellectual property beyond the defined terms of their licensing agreement.
3. Scope of Services. CPF Launchpad offers access to: (i) Factory-direct vinyl SPC flooring products; (ii) Supply chain and logistics support; (iii) Sample kits and product lines (example: Quick48+, SpiritXL, Alpha22); (iv) Satellite warehouse capabilities; (v) Marketing tools and branding; (vi) Lead generation and onboarding support; (vii) Each regional Licensee is responsible for client interaction, account management, pricing (within CPF guidelines), and regional compliance. CPF Floors LLC facilitates product availability, warehousing infrastructure, and fulfillment services through strategic hubs (e.g., Doraville GA, Lakeland FL).
4. Relationship Between CPF and Licensees. CPF Launchpad is not a franchise. It is a licensing-based business development platform. Licensees operate independently but are required to maintain brand consistency, inventory standards, and fulfill minimum performance benchmarks.
Clients working with a local CPF Launchpad operation (e.g., CPF Floors Atlanta LLC) are entering into a business relationship with that Licensee, not CPF Floors LLC directly. The Licensee is the party responsible for fulfilling orders, providing customer support, and managing local business operations.
5. Eligibility. To use the Platform or become a Licensee or customer, you must: (i) Be at least 18 years old; (ii) Operate within the United States; (iii) Have legal capacity to enter into binding agreements. CPF Floors reserves the right to refuse service or licensing to anyone for any reason, including violations of these Terms.
6. Order Fulfillment and Purchase Terms. Product orders are submitted by Licensees to CPF’s supply chain team. Fulfillment depends on availability and stock at CPF-operated warehouses. Customers can pick up from authorized warehouse locations or opt for job site delivery. Payment terms may vary by region and partner, with most transactions requiring upfront payment unless extended terms are granted in writing.
7. Licensing Program Terms (Launchpad Partners Only): (i) Licensees agree to: (i) Represent CPF Floors with integrity and professionalism; (ii) Use CPF-approved sales materials and logos; (iii) Maintain brand consistency in marketing, operations, and communications; (iv) Submit accurate POs on behalf of clients; (v) Operate within the territory outlined in their agreement; (vi) Maintain warehouse and delivery operations aligned with CPF Launchpad guidelines; (vii) CPF Floors reserves the right to audit, suspend, or revoke licensing if misrepresentation or brand misuse is discovered.
8. Prohibited Uses. You agree not to use the CPF Launchpad Platform to: (i) Engage in illegal activity or violate applicable laws; (ii) Falsely represent CPF Floors or another Licensee; (iii) Infringe upon intellectual property rights; (iv) Attempt unauthorized access to Platform systems; (v) Reverse engineer or copy site functionality for commercial exploitation.
9. Warranty Disclaimer. All services and products are offered as-is without warranties of any kind. CPF Floors makes no guarantees on business success, profitability, or operational outcomes for Licensees.
10. Limitation of Liability. CPF Floors LLC shall not be liable for indirect, incidental, special, or consequential damages including but not limited to loss of profits, revenue, or business opportunity. Licensees and users agree that liability for any claim shall be limited to the amount paid to CPF Floors LLC in the preceding 90 days for the specific transaction in question.
11. Dispute Resolution. In the event of any dispute, claim, or controversy between you and CPF Floors LLC arising out of these Terms or your use of the Platform, the matter shall be resolved by binding arbitration in Miami-Dade County, Florida, pursuant to the rules of the American Arbitration Association. Both parties waive the right to trial by jury and agree not to pursue class action litigation.
12. Data Privacy and Security. CPF Floors uses commercially reasonable methods to secure all data exchanged through its Platform. By creating an account or submitting information, you consent to our collection, storage, and processing of your data in accordance with our Privacy Policy.
13. Modifications. CPF Floors reserves the right to amend these Terms at any time. Your continued use of the Platform or participation in CPF Launchpad after such modifications constitutes acceptance of the updated Terms.
14. Termination. We may suspend or terminate your access to the Platform at any time for violations of these Terms or misuse of CPF Floors IP or brand assets. Licensees may have their agreements terminated per the conditions outlined in their contract.
